Terms and conditions for Kivra's signing service between sender and user

Valid from 2022-01-20 and until further notice.

1. General about the service

These terms and conditions (“Terms”) apply when Kivra Sverige AB, org. no. 556917-3544, or another company within the same group as Kivra Sverige AB (“Kivra”/”We”/”Us”) provides you, either as a private individual or as a representative of a legal entity, (“User”/”You”/”Your”) a service (“Signing Service”) for digitally signing agreements and other documents (“E-mails”) from companies, organizations and others who have chosen to join Kivra (“Sender”). If you have a digital mailbox with Kivra, the Terms and Conditions apply as special terms and conditions in addition to Kivra’s General Terms and Conditions for the Service (“General Terms and Conditions”) that you accepted in connection with the activation of your digital mailbox with Kivra. The Terms and Conditions apply when you use the Signing Service. Before you as a User can start using the Signing Service, you must read and accept the Terms and Conditions. Users undertake to comply with the Terms and any other rules and instructions that Kivra publishes from time to time via the Signing Service. The User undertakes to comply with the requirements set by the issuer of Mobile BankID, which means, for example, protecting their Mobile BankID and associated password. The functions that can be used from time to time via the Signing Service may vary in scope and design over time. Kivra reserves the right to continuously develop, expand, restrict or otherwise change the design, technical functions, systems and other components of the Signing Service and the terms and conditions for these. The content and terms that apply to the Signing Service at any time are always communicated to Users for them to consider when using the Signing Service.

2. Use of the Signing Service

To sign E-mails via the Signing Service, you are required to have Mobile BankID. In order to receive and store E-mails in a digital mailbox at Kivra, you must also have registered a digital mailbox with Kivra and accepted Kivra's General Terms and Conditions for the service. Senders create and send E-mails for signing and specify who is to sign the E-mail via the Signing Service. E-mails sent to you for signing become available to you by logging in with Mobile BankID in Kivra's Signing Service. The Sender is responsible for informing you that there is an E-mail to sign. The E-mail is available for signing for 30 days from the date it was sent from the Sender, unless the ability to sign the E-mail is revoked by the Sender before then. Signing takes place with Mobile BankID. Kivra notifies the Sender when you have signed the E-mail that the Sender has sent to you. Kivra stores E-mails on behalf of the Sender for 30 days after the E-mail has been signed by You. You are responsible for downloading and saving the signed E-mail in a timely manner. If You have a digital mailbox with Kivra, the signed E-mail is automatically delivered to Your digital mailbox. Otherwise, Kivra will notify You when the E-mail is signed and You can then choose to obtain a digital mailbox with Kivra or to download the E-mail in another way. However, the possibility of having the E-mail delivered to a digital mailbox with Kivra does not apply to Users who sign E-mails as a representative of the Sender. When the E-mail is signed and its completion has been confirmed by Kivra, You become obligated and entitled in accordance with any agreements in the E-mail. E-mails that have been signed via the Signing Service are accompanied by a verification and an attached metadata file. The verification and metadata file contain information that can be used to ensure the authenticity of the signed E-mail and validate the BankID signatures. The Signing Service meets the requirements for advanced electronic signature (AES) in the eIDAS Regulation*. If the need arises to prove the authenticity of the E-mail or to validate the digital signatures, this can be done by viewing the signature in a PDF reader that has signature functionality.

3. Prices and fees

The Signing Service is provided free of charge to Users.

5. Sender's responsibility

The Sender is responsible for ensuring that the information in E-mails, as well as your contact information attached to E-mails, is correct.

6. User Responsibilities

Users who receive E-mails for signing are responsible for checking that the information in the E-mail is correct and complete. You who sign E-mails as a representative of a legal entity are responsible for having the relevant authority. The User certifies that he/she will not use the Signing Service for illegal purposes, to disrupt the Signing Service or to store/distribute content that infringes the rights of third parties or that may be perceived as offensive or inciting offenses, such as representations with hateful, threatening or pornographic content or representations that incite acts of violence or incitement against a group of people.

7. Limitation of Liability

Kivra is not responsible for the content of, or the consequences of, the E-mails that are transmitted and/or signed via the Signing Service. If a dispute arises due to an E-mail that has been created through the Signing Service, Kivra has no responsibility or liability regarding such possible disagreement. Kivra is not responsible for any damages that arise due to Senders or Users having provided incorrect information when transmitting E-mails or when using the Signing Service. No instructions or information from Kivra in connection with your use of the Signing Service shall be interpreted as legal advice. Kivra disclaims all responsibility for ensuring that E-mails signed through the Signing Service are valid or enforceable under the laws of a particular country, state or other jurisdiction. If You as a User wish to check the validity or enforceability of any E-mail that You plan to sign or that You have already signed through the Signing Service, You should contact the Sender or a competent lawyer with relevant expertise.

8. Suspension of the Signing Service

Kivra has the right, in whole or in part, to suspend the Signing Service for a User and terminate these Terms with immediate effect if the User has violated the Terms, instructions or agreements applicable to the Signing Service. If a violation exists, Kivra will submit the matter to the Police Authority.
